Terms and conditions
1.1 All prices exclude VAT unless otherwise stated.
1.2 Payment will be due in the following stages, unless otherwise agreed: 50% issued as a Pro-forma invoice with all first orders. Following delivery, balance will be payable by return on presentation of VAT invoice.
1.3 Deposits are non-refundable.
1.4 Should work be suspended at the request of or delayed through any default of the Client, Edge Interactive Ltd reserve the right to invoice for work completed up to that time at the standard hourly rate and for materials specially ordered.
1.5 Any work carried out above the scope of a quotation will be invoiced separately.
1.6 The price does not include copywriting or content management unless stated otherwise.
1.7 The standard hourly rate is £45.00 per hour but may change without prior notice. Minimum Charge for time taken work is 30 minutes.
1.8 Quotations are valid for 30 days from date of issue.
1.9 Quotations are based on the current costs of production and are subject to amendment by suppliers on or at any time after acceptance of this quotation. In this instance, the Client will meet any rise or fall in such costs.
1.10 The term ‘preliminary work’ refers to any preparatory visuals and/or consultations following your acceptance of these terms and prior to receipt of your order. Edge- NewMedia reserve the right to charge for all preliminary work undertaken on behalf of Clients where an order is not placed with Edge Interactive Ltd or where the placing of an order is delayed by the Client. Edge Interactive Ltd reserve the right to calculate the amount of preliminary work undertaken on behalf of the Client and to charge this at the standard hourly rate. Edge Interactive Ltd also reserve the right to determine at what point the order is deemed to be delayed by the Client. Following receipt and completion of an order any costs charged for preliminary work will be deducted from the final invoice.
1.11 It is assumed that all images supplied will be in electronic format and that they will be suitable for the purpose and that they do not require manipulation. Edge Interactive Ltd reserves the right to determine whether or not images are suitable for the purpose and whether or not they require manipulation. If manipulation of images is required, Edge Interactive Ltd reserve the right to calculate the amount of manipulation work required and to charge this at the standard hourly rate.
1.12 Where charges are made for the supply of stock images, such charges should be considered as a usage fee only.
1.13 Edge Interactive Ltd is unable to accept orders without written instructions from the Client, and any subsequent amends to orders will only be accepted in writing. Written instructions will be accepted by email, PDF or letter.
1.14 All files, goods, including preliminary and visual work, whether experimental or otherwise, will remain the property of Edge Interactive Ltd until paid for in full.
1.15 Edge Interactive Ltd will only accept cancellation on the condition that the customer meets all costs and expenses at the time of cancellation.
Printed Materials
2.1 Proofs of work will be submitted to the Client for signature, and no work will be forwarded to the printer until the Client has made such a signature and Edge Interactive Ltd has received it. No responsibility will be accepted for any errors made not corrected by the Client. Following submission to the printers, any alterations, including alterations in style made by the Client, and the cost of additional design time and proofs necessitated by such corrections will be charged extra.
2.2 Although every effort will be made to match colour output, there may be dissimilarity due to the different process involved in proofing and printing.
Websites / Email / Hosting
3.1 Website launch means the publishing of the website on the worldwide web or the handing over of the website to the Client for database population, whichever is the soonest.
3.2 Web hosting is subject to Terms and Conditions as outlined in the Web Hosting Service Agreement.
3.3 Websites constructed by Edge Interactive Ltd are compatible with Edge servers. If a website built by Edge Interactive Ltd is moved to another server, Edge Interactive Ltd will not be held responsible if the site does not function correctly.
3.4 Under copyright law website files remain the property of Edge Interactive Ltd until paid for in full.
3.5 Where Clients choose to host their websites on servers other than those administered directly by Edge Interactive Ltd, responsibility for set up, compatibility and/or server problems remains with the Client.
3.6 Where set up, compatibility and/or server problems arise, Edge Interactive Ltd reserves the right to decline to assist investigating and/or resolving such problems.
3.7 The Client will be the registered holder of any domain names purchased by Edge Interactive Ltd on their behalf.
3.8 Edge Interactive Ltd WILL NOT be responsible for any domain name that does not reside on our servers. If a domain is unlocked and moved to another provider upon request of the client/third party, Edge Interactive Ltd will no longer be held responsible for this domain or any matter relating to it.
3.9 We will liaise with the transfer of a domain (although a administration charge may be incurred) but, once it has left our servers we will not be held responsible for any technical issues, email, database, stats, loss of service or loss of revenue related to the website which may arise.
3.10 Edge Interactive Ltd will not be held responsible for hosting issues related to email, database, stats if the hosting package is not controlled by our servers.
3.11 Where assistance is offered by Edge Interactive Ltd in investigating and/or resolving problems relating to set up, compatibility and/or server problems, Edge Interactive Ltd reserve the right to calculate the amount of time taken and charge this at the standard hourly rate.
3.12 If invoices are not paid within the 30 day period for domains and hosting, Edge Interactive Ltd reserve the right to suspend your email and website services. Administration charges will apply to reinstate the services.
3.13 Upon launch, the Client is deemed to have approved the website or website amends. Any subsequent alterations requested by the Client following launch will be charged extra.
3.14 Where a source code is altered by the customer or by anyone employed by the customer (other than Edge) and such alterations cause errors within the website’s functionality, design, or construction ,Edge Interactive Ltd reserve the right to charge for all work undertaken to correct these errors.
3.15 It is understood Edge Interactive Ltd are NOT responsible for the financial performance of ecommerce websites built by us. Edge Interactive Ltd are NOT responsible for any financial loss incurred from a website built by us. Any financial transactions made through the website are NOT the responsibility of Edge.
3.16 Edge Interactive Ltd servers DO NOT hold any financial details of customers.
3.17 Any E-commerce site is moved from our servers, Edge Interactive Ltd will not be held responsible for any financial cost lost whilst the site is being moved to a 3rd party server.
3.18 If FTP access is granted to a third party on behalf of a client, the client is liable for the files that are uploaded to our servers. The client will be held responsible for any files uploaded to our servers. The client will be responsible if any files uploaded that are corrupt or files that contain viruses. Edge Interactive Ltd will recoup any costs relating to loss due to these factors from the client.
3.19 Any deletion of a website will require written confirmation in the form of an email or letter. Upon receipt the website and relating emails, stats database will be deleted and Edge Interactive Ltd will no longer be responsible.
3.20 Once the project has been finalised, Edge Interactive Ltd is not responsible for errors, corrections, or changes to the project after that point. Any changes to the project going forward may require additional work and subject to the Company’s current standard rates, or as outlined in the contract between the Client and the Company.
3.21 On completion of any content managed system (CMS), the administration details will be supplied to the client to manage the site. If the client moves their website that contains our CMS to a 3rd party, the 3rd party MUST obtain their own serial number and CMS files, as ALL licences are registered to Edge. This is protect Edge from any related security breaches, malicious hack attempts relating to the CMS licence once the website and CMS have left our ownership.
